These Terms of Service (“Terms”) govern your access to and use of the website, products, and services offered by TAEN Technology LLC (“TAEN Technology,” “we,” “our,” or “us”). By visiting or purchasing from our site, you agree to be bound by these Terms and our Privacy Policy, Refund & Return Policy, and Shipping Policy (collectively, the “Policies”). If you do not agree, do not use our site.

1) Eligibility & Account

• You must be at least 18 years old (or the age of majority in your state) to purchase.

• You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use.

2) Orders & Acceptance

• Your order is an offer to purchase. We may accept or reject any order for any lawful reason (e.g., suspected fraud, pricing/availability errors).

• We will confirm acceptance by sending a shipping confirmation. Risk of loss passes on delivery by the carrier to your address. See our Shipping Policy for details.

3) Pricing, Taxes & Promotions

• Prices are shown in U.S. dollars and are subject to change without notice.

• We collect applicable taxes as required by law; you are responsible for any additional taxes or duties.

• Coupons/promotions are subject to Promotion Terms (eligibility, time limits, exclusions). We may correct obvious price or typographical errors.

4) Product Information & Availability

• We strive for accuracy but do not warrant that product descriptions, images, specifications, or availability are error-free.

• Colors may vary due to display settings.

• We may discontinue or limit quantities at any time.

5) Payments

• We accept the payment methods shown at checkout. You authorize us (and our payment processors) to charge your selected method.

• By submitting a payment method, you represent that you are authorized to use it and that the information is accurate and complete.

6) Shipping, Delivery & Title

• Shipping options, fees, and timelines appear at checkout and in our Shipping Policy.

• Title and risk of loss transfer to you upon delivery by the carrier.

• Delays: If we cannot ship within the stated time, we will follow the FTC Mail, Internet, or Telephone Order Merchandise Rule (notice and refund options).

7) Returns, Exchanges & Refunds

• Our Refund & Return Policy (incorporated by reference) explains eligibility, windows, RMA process, shipping of returns, and refund timing.

• Some items are non-returnable except where required by law (see policy).

8) User Content & Reviews

• You may submit reviews, questions, photos, or other content (“User Content”). You represent that you own or have rights to the content and that it:

  • is truthful and not misleading;

  • does not infringe others’ rights or violate laws;

  • contains no malware, ads, or illegal/offensive material.

• You grant TAEN Technology a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, host, reproduce, modify, publish, translate, create derivative works from, and display such User Content in connection with our business.

• We may remove or edit User Content at our discretion.

9) Acceptable Use

You agree not to:

• violate laws or third-party rights;

• scrape, crawl, harvest data, or try to bypass technical protections;

• interfere with site operation, introduce malware, or conduct security testing without permission;

• use our site for fraudulent, deceptive, or harmful activities.

10) Intellectual Property

• All site content (text, graphics, logos, product names, images, software, and the compilation thereof) is owned by TAEN Technology or its licensors and protected by U.S. and international laws.

• You may not use our trademarks without written permission. Limited personal, non-commercial access is granted to use the site as intended.

11) Third-Party Services & Links

Our site may link to third-party websites or use third-party tools (e.g., payment processors, analytics). We are not responsible for their content or practices. Use of third-party services is governed by their terms and privacy policies.

12) DMCA / Copyright Complaints

If you believe content on our site infringes your copyright, send a notice to info@taentechnology.com with:
(1) identification of the work; (2) identification of the allegedly infringing material and its location; (3) your contact info; (4) a statement of good-faith belief; (5) a statement under penalty of perjury that the notice is accurate and you are the owner or authorized agent; and (6) your physical or electronic signature.

13) Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the site, you consent to our data practices and to receiving electronic communications relevant to your orders and account (E-SIGN consent).

14) Export & Sanctions Compliance

You agree to comply with U.S. export controls and economic sanctions. You will not use our products or services in violation of such laws or for prohibited end-uses.

15) Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN WRITING, THE SITE AND ALL PRODUCTS/SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some states do not allow certain disclaimers; portions of this section may not apply to you.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAEN TECHNOLOGY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS/REVENUES/GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO TAEN TECHNOLOGY FOR THE PRODUCT OR SERVICE AT ISSUE. Some states do not allow certain limitations; portions may not apply to you.

17) Indemnification

You agree to defend, indemnify, and hold harmless TAEN Technology from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the site, your User Content, or your violation of these Terms or applicable law.

18) Dispute Resolution; Arbitration; Class-Action Waiver

• Governing Law & Venue: These Terms are governed by the Federal Arbitration Act and, to the extent not preempted, the laws of the State of Wyoming, without regard to conflict-of-law rules.

• Binding Arbitration: Except for disputes within small-claims court jurisdiction or requests for injunctive relief regarding IP/website misuse, any dispute between you and TAEN Technology will be resolved by binding arbitration on an individual basis administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

• Class-Action Waiver: You and TAEN Technology waive any right to a jury trial or to participate in a class, consolidated, or representative action.

• Location & Fees: Unless you opt for remote/telephonic arbitration, the default location is Sheridan County, Wyoming. Payment of fees follows the AAA Consumer Rules.

• 30-Day Opt-Out: You may opt out of arbitration (and the class-action waiver) by emailing info@taentechnology.com within 30 days of your first acceptance of these Terms with the subject “Arbitration Opt-Out” and your full name and address.

19) Suspension & Termination

We may suspend or terminate your access for any violation of these Terms, suspected fraud, or harmful activity. You may stop using the site at any time. Sections that by their nature should survive (e.g., IP, disclaimers, liability limits, arbitration) shall survive termination.

20) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, acts of government, war, terrorism, internet or utility failures, or supplier delays.

21) Changes to the Terms

We may update these Terms from time to time. If changes are material, we will post the updated Terms with a new “Effective date.” Your continued use after changes becomes your acceptance.

22) Entire Agreement; Severability; Assignment

These Terms and the Policies constitute the entire agreement between you and TAEN Technology and supersede prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. We may assign these Terms; you may not assign them without our consent.
